The OEM version is allowed to be installed and activated only on one computer and has to stay with it. The Retail or Upgrade version can be installed on a REPLACEMENT computer but not on 2 computers at the same time. A new motherboard may require Windows activation, may have to call Microsoft to do it, explain what was done.

The upgrade version is only transferrable if the original Windows that was upgraded was retail. Upgrade an OEM version of Windows and it stays OEM.
