It looks like a kernel problem indeed.
Have you performed a clean install?

I wouldn't know how to fix a kernel problem without a clean install of the system. I don't know if it is even possible to fix a kernel problem without a re-install.

Hardware have mainly been ruled out.
Drivers have been updates and I would doubt it that driver verifier would find a (new) driver.

I re-install is better then replacing the motherboard.

In the meanwhile, test your PSU as it is the other hardware component that hasn't been ruled out.
Right now I don't have time to explain how you could test your PSU, but there are good sites that can help you with it.

I don't know how the Psu could have something with the problem to do tought. If i "Restart" It says it give em option do keep or remove files, then Re-Installs windows, is it this you want me to do?

Backup your data first if you haven't

    Boot from the media
    Choose to keep nothing
    Install Windows
