You should be fine as far as activation, AFAIK CPU isn't a 'major' change as far as activation is concerned.

Any problems with activation with the new CPU just right click the start orb, click run, type slui in the box and press enter, choose yes on the UAC pop up, then on the next box that pops up enter the license key from your copy of Win 8.

I had to do that when I changed my MB, used the key from my Win7 Home retail version that I did the free upgrade from. It activated immediately with no problems.

I am wondering whether the new CPU is really faster than Phenom II...

I believe it was based on Windows 8 Pro, as I'm looking at the Windows 8 pro box right now.
That's the same as mine. Windows 10 should activate no matter how much you replace. If it doesn't activate, try Activation Troubleshooter. If that doesn't work, try feeding in your Windows 8 Pro key. If that doesn't work, call Microsoft. You paid for Windows 8 Pro. You shouldn't have to buy another license.

Well, the Phenom II is only a 3.4GHz and the FX 8350 is a 4.0GHz. So far I've been seeing a lot faster FPS in the games that I play, sometimes even doubled over what I was getting with the Phenom with the same GPU that I'm using. And I did manage to get 20fps more in one particular game that the devs have said is very CPU intensive which makes it playable now as before I was getting anywhere from 7 to 17 and now it pretty much sticks around 37.

In any event it's the max I can go with my mainboard so in a year or two I'll be rebuilding from almost scratch.

For those wondering, it went without a hitch. Installed the new CPU and fan and Windows booted right up (didn't need to reinstall Windows), and haven't been requested to activate so far. Didn't specifically go looking to see if it's still listed as activated or not.

It is possible activating a new board and CPU with the windows 10 upgrade all you need to do is install Windows 10 then go to "change product key" and enter your windows 7/8 key it worked for me i activated using the windows 7/8 key when on the phone to a Microsoft tech

To say nothing about double core count in FX 8350 !!
I did same thing a while ago and results were amazing even considering OC-ing PH II x4 965BE to 4.2GHz. W10 didn't need any changes, P&P all the way. W10 was free upgrade from retail W7. Since then, same disk was used on new Ryzen system, still no clean install needed and it was activated as soon as I logged in with my MS account.
PS: @Traijan, make sure you have latest BIOS flashed in before you switch CPUs.
